Terms of Trade
These terms apply to all quotations issued and orders accepted by NORDSKYDD. Placing an order constitutes acceptance of these terms unless a signed agreement states otherwise. They apply between businesses; we do not sell to consumers.
Quotations and orders
Quotations are valid for the period stated on them, or 30 days if no period is stated. An order becomes binding when we issue a written order confirmation. Prices for goods produced to your specification are fixed at confirmation and those items cannot be returned.
Prices, payment, and invoicing
Prices are quoted in EUR or SEK excluding VAT, under the stated Incoterms 2020 rule. Payment terms are 30 days net from the invoice date, subject to a credit check; otherwise we ask for payment in advance. Swedish public sector buyers are invoiced electronically in Peppol BIS format. Late payment carries interest at the rate set by the Swedish Interest Act (räntelagen 1975:635).
Delivery and risk
Risk passes according to the agreed Incoterms 2020 rule. Delivery dates are given in good faith and confirmed at order confirmation; we notify you promptly of any delay outside our control. Portable extinguishers are shipped as limited quantity dangerous goods under ADR and travel on road freight.
Conformity of goods
Goods are supplied with the manufacturer's EU declaration of conformity and instructions in the language of the destination country. Damage or shortage in transit must be noted on the carrier's delivery documents and reported to us within seven days. Other defects must be reported within a reasonable time of discovery and within two years of delivery, and we will repair, replace, or credit the item at our discretion.
Services
NORDSKYDD supplies equipment only. We do not install, maintain, audit, or train on site. If you need field services, those remain with your installer or local service provider. Our obligation is to supply the articles ordered with the manufacturer's conformity documents described in the conformity of goods section above.
Liability
Our liability for any order is limited to the price paid for the goods or services concerned, except where Swedish law does not permit such a limitation, and in particular in cases of personal injury caused by negligence, gross negligence, or wilful misconduct. We are not liable for indirect or consequential loss, including loss of production or loss of profit.
Force majeure
Neither party is liable for failure to perform caused by events beyond its reasonable control, including natural events, industrial action, government restrictions, war, cyber incidents at a third party, or the closure of ports and transport routes. If such an event continues for more than sixty days, either party may cancel the affected order without penalty.
Governing law
These terms are governed by Swedish law, and disputes are settled by the Swedish courts with Gothenburg District Court as the court of first instance.
